General conditions of sale

Method of performance – DYB s.r.l. undertakes to carry out projects, works, services, supplies described in the "Contractual Proposal" and connected to the realization of the indicated event or supply, in a workmanlike manner and with the best diligence using personnel with adequate technical training-professional; the execution of the activities indicated in the contract also includes the execution of projects, works, services not expressly listed, deemed at the sole discretion of DYB s.r.l. necessary for the best realization of the event as well as the free choice of materials, unless expressly requested in writing of the Client. All the works, supplies, services provided are intended for hire and remain the property of DYB srl, unless explicitly stated otherwise. DYB s.r.l. is not liable in any way for any damage, theft, tampering with material entrusted and/or transported owned and/or on behalf of the client.

Sub contract - In the execution of this contract DYB s.r.l. may make use, at its sole discretion, of external collaborators and also subcontract to third parties the execution of projects, works, services authorized pursuant to art.1656 of the cod. civ. by the Customer with the signing of this document.

Client Obligations - Disclaimer - The Client undertakes to allow DYB s.r.l. and its collaborators (including external ones) free access to places and premises where the event (demonstration) is expected to take place, collaborating and adopting all measures, also in terms of safety, hygiene, prevention, directed to the realization of the work; therefore, the Customer expressly exonerates DYB s.r.l. from any consequence, including delay in the execution of the contract, determined by failure to comply with the aforementioned obligations.

All materials, during the days of the event, are charged to the customer, who will be responsible for both theft and for any damage and/or fire. Work variations - The variations requested by the Customer after signing the contract with respect to projects, works, works, services commissioned as described in the "Contractual Proposal" must be communicated in writing and cannot lead to a substantial modification of the original project (that is, to the extent greater than 1/6 of the original agreed price), unless accepted by DYB s.r.l.; in any case DYB s.r.l. reserves the right to adjust the agreed price to the requested modifications.

Notification of faults and defects - Failure to contest by registered letter a.r. by the Customer of defects or defects in projects, works, works, services within eight days of delivery or of the performance of the event implies acceptance of the same with right by DYB s.r.l. upon full payment of remuneration envisaged in the "Contractual Proposal".

Ownership and exploitation of projects, logos, artefacts, drawings and works - Projects, logos, artefacts, drawings and works in general aimed at the realization of the event (exhibition) are the exclusive property of DYB s.r.l. until the signing of this contract; it is therefore forbidden for the Client to use, disclosure, exploitation of the same (also through other sector operators) under penalty of payment of the entire agreed amount.

Right of withdrawal and penalty - The Customer has the right to withdraw from the contract, even if it is initiated by DYB s.r.l. the activity aimed at the realization of the work or event, provided that it indemnifies DYB s.r.l. from projects, expenses, charges, works, services, works (including charges deriving from contracts stipulated according to the event) carried out, carried out and supported up to that moment and pays a penalty for loss of earnings (pursuant to article 1671 of the civil code) equal to 50% of the total contractually agreed amount. In case of cancellation of this contract proposal for events weather, force majeure or other causes not attributable to our will, 90% of the agreed amount will be charged, regardless of the date of notice.

Default interest - In the event of non-payment or late payment, it will be due to DYB s.r.l. default interest to the extent of seven points more than the interest at the legal rate from maturity to settlement. Termination of law and forfeiture of the benefit of the term - Failure or delay in fulfillment by the Client entails legal termination pursuant to art.1456 of the civil code. civ. from this contract and forfeiture of the benefit of the term pursuant to art. 1186 code civ. without further charge, formal notice or notice to be paid by DYB s.r.l.

Conventional Court - The Court of Milano has exclusive jurisdiction over all disputes arising from the interpretation and execution of this contract.
